You’re just back-office support, Clara, so you’ll stay in Chicago while the executive team flies to Rome, my boss, Julian Kincaid, told me before leaving for his sister's $1.4 million villa wedding.

Chapter 18: Birthday in Chicago

Signor Benetti began to read, his voice calm, precise, and utterly devoid of emotion. Each word, however, was a meticulously placed demolition charge.

“Formal determination regarding Kincaid Private Capital’s application for an eighteen-million-euro European expansion loan facility. Following extensive review of submitted documentation, including the original 2014 Delaney Capital Founding Operating Agreement, and the purported 2018 corporate resolution…”

Julian stood frozen beside him, his face a ghostly white, his chest heaving. Evelyn buried her face in her hands.

“…It has been formally determined that the primary collateral guarantee, specifically the Delaney Family Legacy Trust, lacks legal validity for re-hypothecation.”

A collective murmur rippled through the room. Investors exchanged sharp, concerned glances.

“This invalidity arises from the expiration of Section 14-B of the 2014 Founding Operating Agreement at precisely midnight, June 14th, Central European Time.”

Benetti’s gaze remained fixed on the document. “This clause mandated 100% legacy founder consent for such an action, a condition that was not met and has now, by sunset, legally lapsed.”

He paused, letting the silence amplify the weight of his words.

“Consequently,” he continued, “the $18 million loan facility, lacking verifiable and legally sound collateral, is hereby formally rejected by the European lending syndicate.”

Gasps echoed across the banquet room. Julian swayed slightly, grabbing the edge of the podium to steady himself.

“Furthermore,” Signor Benetti added, his voice rising just enough to carry over the growing commotion, “this formal rejection immediately activates cross-default provisions across all of Kincaid Private Capital’s existing domestic lines of credit.”

The finality of his statement hung in the air. Julian’s corporate empire, his personal wealth, everything he had built on shaky foundations, was now crumbling. Without a single lawsuit, without an arrest, the system had begun its work.
