Chapter 3: The Expired Clause

Hours later, the stale air of the medical archive basement hung heavy around Arthur and Chloe. Dust motes danced in the dim light of a single bare bulb as they sifted through box after box of old hospital documents. Chloe pulled out a brittle, leather-bound volume, its title embossed in faded gold: “St. Jude Hospital Foundation Charter – 1999.”

“This is it,” she said, her voice a hushed whisper. “The original charter.”

They turned the yellowed pages, the scent of old paper filling the small space. Chloe traced a finger down a column of text on page 37.

“Here,” she murmured, her finger stopping at a paragraph near the bottom. “Clause 14-D.”

Arthur leaned closer, squinting at the fine print. The clause, an obscure, long-forgotten provision, stated that during an active institutional emergency, all asset sales were suspended. More importantly, it stipulated that clinical authority and patent rights for any associated research automatically reverted entirely to the founding lead surgeon.

Arthur felt a sudden surge of something he hadn’t expected: power. The clause gave him absolute legal authority to freeze Julian’s transaction, to stop the clinic sale dead in its tracks. The words on the page seemed to vibrate with unspoken significance.

“This is… absolute,” Arthur whispered, a tremor in his voice. “Total authority.”

Chloe nodded, her face grim.

“It’s a loophole, Dr. Pendelton. No one remembers it. It was meant for catastrophic events, natural disasters, wartime.”

“Using it,” Arthur said, his gaze fixed on the clause, “would publicly expose Julian’s entire financial situation. Everything.”

“But it would stop him,” Chloe insisted. “And protect the clinic.”

The weight of the decision settled on Arthur. He held Julian’s fate in his hands, wrapped in an old legal document. He could use it to destroy his son’s desperate plan, but at what cost to their already fractured relationship?
